TALENT AGREEMENT AND RELEASE
This will confirm the agreement between
(“Talent”) and TC PICTURES o/a Toronto Creatives (“Agency”) as a photo and video production company for
(“Client”).
1. SERVICES:
(a) Talent will be available for filming as required for up to one day to film one video to take place at a time and place to be determined by Agency after consultation with Talent.
(b) Talent agrees to use of Talent’s name, picture, and likeness in up to 5 different versions of the video on the terms provided in this agreement in connection with advertising for Client’s website and social media channels (the “Products”) as well as Agency’s website as an example of work.
(c) Call times will be provided by the Agency no later than the day prior to the start of filming.
2. MEDIA:
Talent’s name, photograph and likeness may be used in other advertising materials for Client and Agency.
3. TERM:
(a) The initial term for the use of Talent’s name, picture or likeness shall be 10 years from the date of the session and will be extended automatically extended for the next 10-year term, unless otherwise specified by Talent by submitting a request no later than 15 days prior to the expiry.
4. COMPENSATION:
(a) Talent is agreeing in participation in the project on a voluntary basis.
(b) Copies of all final versions of the video in original formats will be transferred to Talent for use for their purposes or/and as an example of work.
(c) Client agrees to reimburse Talent for travel expenses incurred in connection with the session outside of the 100km radius of Talent’s residence.
5. RELEASE:
Talent shall have no right of approval except approval of the way their personal and/or sensitive information is represented and right to request removing such information out of the Product, no claim to additional compensation or benefits, no claim, including, without limitation, claims based upon invasion of privacy, defamation, or right of publicity arising out of any use or any unintentional blurring, distortion, alteration, optical illusion, or use of composite form, of Talent’s name, picture or likeness, contingent upon said usage being consistent with the rights granted herein.
6. MISCELLANEOUS:
This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors, licensees, and assigns, except that Talent’s obligations may not be delegated. Raw footage collected and deemed owned by Agency, stored on the Agency’s cloud drives for 1 year after completion of the project, i and will not be transferred to other parties. This Agreement constitutes the entire agreement between the parties and no waiver, modification or addition to this Agreement shall be valid unless in writing signed by the parties.
